ARTICLE 1    PAYMENT AND RELATED MATTERS

1.      The payment from Party B to Party A (the “Payment”) include application fee (￥200/NT $888/A $40) and course fee, excluding other expenses such as food and accommodation. The Payment is subject to change based on the amount actually paid by Party B to Party A's account (the "Actual Payment Amount").

2.      Related Matters

(1)   Party A provides Party B with an international standard credit course selection service.  Courses are recruited and run by the host university (the “University”). At the end of each course, the University will issue an official transcript in paper. Pursuant to Party B's requirements, the information about professors, lecturers, courses, textbooks, etc. can be found on the website, subject to the information published by the University and filed (approved) by the education authority.

(2)   Each course’s commencement date or time will be determined by the University. Party A will notify Party B via announcements, text messages, or emails through the official website, the Course Selection System, or the contact information provided by Party B.

(3) The Course Selection System refers to the electronic system on the official website which students use to complete the campus and course selection.

ARTICLE 2    LIABILITIES AND OBLIGATIONS OF PARTY A

1.      Upon full Payment from Party B, Party A will enroll Party B in the Course Selection System.

2.      The University is responsible for training, mentoring, and managing the professors and lecturers. Party A is responsible for planning Party B’s courses based on the University’s available courses and teaching arrangements. Party B must cooperate with the professors and lecturers to complete the course as planned.

3.      Based on the cooperative relationship between Party A and the University, Party A guarantees the stability of the professors and lecturers to the greatest extent reasonably attainable by the Party A. If there is a change to the professors and lecturers, Party A will promptly notify Party B via announcement, text message, or email through the Course Selection System or the contact information provided by Party B. If Party B requests a change or withdrawal, it shall be implemented in accordance with the relevant terms and conditions set forth in the Agreement. Party B hereby agrees that the University has the right to determine the placement of the professors and lecturers and their substitutes.

4.      If the University selected by Party B cancels or delays the course due to Force Majeure or major conferences held by the government, Party B has the right to either (1) enroll in another course offered by Party A with another cooperative university, or (2) apply for a refund. Party B cannot apply for any other damages under the situation described in this Section.

5.      If Party B chooses the Taiwan Campus, Party A will assist Party B to obtain the relevant visa to Taiwan (all visa related costs shall be paid by Party B). Party B shall prepare all required materials for the visa application as Party A requires. If Party B is unable to arrive in Taiwan on time due to the incomplete or late submission of all abovementioned materials, Party B shall be liable for any consequences.

6.      For Party B’s first transcript, Party A will mail it for free. For additional transcripts, Party B shall pay a transcript printing fee of RMB 40 and an international express delivery fee of RMB 260 for each transcript. The international express delivery fee may also be paid by Party B upon delivery. If multiple transcripts are mailed to the same address using one envelope, Party B will only be responsible for one delivery fee.

7.      International standard credit courses have the following English requirements for participating students. If Party B does not meet these requirements but have the equivalent language skills, and chooses to participate in the courses in their free will, Party A will not be responsible for their poor learning experience or results due to their insufficient language ability. .

ARTICLE 3 LIABILITIES AND OBLIGATIONS OF PARTY B AND GUARDIAN OF PARTY B, IF APPLICABLE

1.      Party B must create an online profile on the official website of which contains all application forms and personal information of Party B. All information provided on the application, must be accurate and truthfully. If any information provided by Party B and their guardian is fraudulent, Party A can unilaterally terminate this agreement without refunding the application fee. Party B shall compensate Party A for any damage suffered by Party A due to Party B’s fraudulent submission as described in this Section. Additionally, Party B shall pay Party A 30% of the Actual Payment Amount as liquidated damages.

2.      Party B must follow the management of the professors and lecturers, and strictly comply with the classroom principles. If Party B defies the professors, lecturers or the classroom principles, this may constitute an event of default by Party B in Party A’s sole discretion, and thus a breach of contract by Party B.

3.      If Party B changes courses, campuses, or adds courses for personal reasons, they must apply to Party A two days prior to the start of each course. Upon Party A’s approval, Party B may change the selected course or campus in the Course Selection System. Party B's choice of campus and course is subject to Party B's final confirmation of the course selection result in the Course Selection System. If there is an increase in the Payment due to any change as described in this Section, Party B shall pay Party A the increase.

4.      If Party B withdraws the course, they have the right to apply for a refund. The refund shall be calculated as follows:

       (1) Before November 1, 2019 (including the day), if Party B applies for the withdrawal of all courses, they can receive a full refund of the Actual Payment Amount. If Party B applies for the withdrawal of a portion of all courses, they can get a full refund for the courses that they withdraw from. If Party B has enjoyed the discounted fee for the Payment, the above-mentioned refund shall be calculated according to the discount rate.

       (2) From November 2, 2019 to December 29, 2019, if Party B applies for the withdrawal of all courses, 40% of the Actual Payment Amount will be deducted as a penalty, and the remaining amount will be refunded. If Party B applies for the withdrawal of a portion of all courses, the application fee will not be refunded, 40% of the course fee for the withdrawn courses will be deducted as a penalty, and the remaining amount will be refunded. If Party B has enjoyed the discounted fee for the Payment, the above-mentioned refund shall be calculated according to the discount rate.

       (3) From December 30, 2019 to December 31, 2019, if Party B applies for the withdrawal of all courses, 85% of the Actual Payment Amount will be deducted as a penalty, and the remaining amount will be refunded. If Party B applies for the withdrawal of a portion of all courses, 85% of the course fee for the withdrawn courses will be deducted as a penalty, and the remaining amount will be refunded. If Party B has enjoyed the discounted fee for the Payment, the above-mentioned refund shall be calculated according to the discount rate.       

  (4) Beginning from the third day of the commencement of any course, Party B can no longer apply for a withdrawal from any course.

       The above “portion of all courses” refers to the difference between the amount of course fees corresponding to the number of courses selected and the amount of course fees corresponding to the number of courses remaining after withdrawal.

5.      Based on the relationship between Party A and the University, if the University cancels the course because less than 5 students are enrolled in it, Party B has the right to change the course or apply for withdrawal from this course. The course change will be implemented according to the course change rules. If Party B withdraws the canceled course, the course fee for the canceled course will be refunded. If Party B withdraws all the courses, the Actual Payment Amount will be refunded. If there are more than 30 students enrolled in a single course, the University or Party A has the right to place the students into different sections of the course or stop the open enrollment for this course.

6.      Party B shall carefully read the International Summer Class Safety Protocol (see Exhibit I). The Exhibit is an integral part of this Agreement. Signing this Agreement shall be deemed to sign the contents of the Exhibit.

ARTICLE 4   MISCELLANEOUS

1.      This Agreement is a paper agreement and will take effect from the date Party A receives Party B’s Payment (the “Effective Date”). From the Effective Date, the Agreement is binding on both Parties.

2.      This Agreement shall be governed by and construed in accordance with the laws the People's Republic of China.

3.      The responsibilities and obligations of both Parties shall automatically terminate upon the end of the course, except those that will be performed thereafter.

4.      This Agreement, including Exhibit, incorporated by reference and a part hereof, sets forth the entire Agreement of the parties with respect to the subject matter herein and supersedes any prior or contemporaneous agreements, oral and written, and all other communications between the Parties with respect to such subject matter. Party A reserves the right to interpret this Agreement.

5.      . Any claim or controversy arising out of or relating to this Agreement that cannot be resolved by the Parties shall be submitted for lawsuit at the people's court where Party A is located.

6.      Course Selection Service uses online registration and admission methods. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
